Reference is made to the stock exchange announcement made by Endúr ASA (the “Company“) on 15 November 2021 (the “Notice“) regarding the successful completion of a private placement raising gross proceeds of NOK 170 million (the “Private Placement“) through the issuance of new shares at a price of NOK 0.75 per share (the “Offer Price“). All terms used in this notice shall have the meaning ascribed to such terms in the Notice.
The following close associates of primary insiders have been allocated shares in the Private Placement at the Offer Price:
* Artec Holding AS, a company closely associated with board member Bjørn Finnøy, has been allocated 71,803,220 Offer Shares; and
* Jörn Ryberg Holding AB, a company closely associated with board member Jörn Ryberg, has been allocated 16,624,910 Offer Shares.
Furthermore, Artec Holding AS has agreed to lend out 226,666,667 shares in the Company to Arctic Securities AS, in order to arrange for settlement of the Offer Shares to be delivered in the Private Placement, pursuant to the share lending agreement as further detailed in the Notice.
